These terms govern the agreement between Aubrey Research ("we", "us", "our") and the partner identified below ("you", "your"). They take effect when you complete the activation flow and confirm acceptance, and continue until terminated under section 12.

1.1 The Aubrey Research Partner Programme allows approved partners to share Aubrey Research with their audiences in exchange for commission on sales they refer.
1.2 Acceptance into the programme is at our sole discretion. We are not required to give reasons for any decision.
1.3 Participation does not create an employment, agency, joint venture, or franchise relationship between us. You are an independent contractor at all times and are solely responsible for your own tax, national insurance, and any other liabilities arising from income earned under these terms.
2.1 Your unique partner handle (the "Handle") is shown above. Your share link is aubreyresearch.com/r/your-handle and your Handle also functions as a checkout discount code.
2.2 The Handle is licensed to you for use within the programme. You may not transfer, sublicense, or allow another party to use it without our prior written consent.
2.3 We may change, retire, or replace your Handle if it conflicts with our trademarks, contains restricted terms, or no longer reflects your active content. We will give 14 days' notice where reasonably practical.
3.1 Customers who arrive via your share link or use your Handle as a code at checkout receive a 15% discount on Aubrey Research products at the time of purchase.
3.2 The discount applies automatically to qualifying purchases within 30 days of the customer's first click on your link (the "Attribution Window").
3.3 Where a customer has clicked another partner's link or used another partner's code within an active Attribution Window, the most recent valid attribution applies (last-touch attribution).
3.4 We may change the customer discount on 30 days' notice. Changes apply to future purchases only.
4.1 You earn commission on every qualifying sale attributed to your Handle.
4.2 Your commission rate is your commission rate% of the gross sale value (the price the customer paid, after their discount).
4.3 We may change your commission rate on 30 days' written notice. Changes apply to sales recorded after the change date. Sales recorded before the change date pay at the rate in effect when they were recorded.
4.4 Commission is calculated per sale in pounds sterling. We may correct calculation errors at any time.
4.5 Commission accrues only on completed sales. Sales subsequently refunded, charged back, or reversed for any reason do not generate commission, and any commission already credited will be reversed in line with section 6.
5.1 We pay accrued commission monthly by bank transfer to the account details you provide during activation. Payment runs typically occur within 14 days of the end of each calendar month.
5.2 Commission accumulates until your unpaid balance reaches a minimum threshold of £20. Below this threshold, the balance carries forward.
5.3 You are responsible for declaring commission income to HMRC and for any tax liability arising. We do not deduct tax at source.
5.4 If you are VAT-registered you must invoice us separately for any VAT due. We do not gross up payments for VAT not invoiced. Where you are not VAT-registered, no VAT is added to commission payments.
5.5 We provide a monthly statement showing attributed sales, commission earned, and any deductions.
5.6 You must keep your bank details accurate and current. We are not liable for missed or misdirected payments resulting from incorrect or out-of-date details on your record.
6.1 If a customer refunds, charges back, or otherwise reverses a purchase you referred, the corresponding commission is reversed.
6.2 Reversed commission is deducted from your next monthly payment. Where reversals exceed your unpaid balance, you agree to refund the difference within 14 days of our written notice.
6.3 We may withhold commission for up to 60 days after a sale to allow refund and chargeback windows to close.
7.1 You may promote Aubrey Research through your own content, including videos, podcasts, blog posts, social media, newsletters, and direct communication with your audience.
7.2 You must clearly disclose your commercial relationship with us where required by applicable law, including the UK Advertising Standards Authority's CAP Code requirements and any equivalent platform rules.
7.3 You must not make false, misleading, or unsubstantiated claims about Aubrey Research, our products, or what a customer will receive.
8.1 You must not:
(a) bid on the terms "Aubrey Research", "aubreyresearch", or close variants in paid search advertising on any platform;
(b) use spam, unsolicited bulk email, or other unauthorised mass communication to promote your link;
(c) incentivise clicks or purchases through cashback, rebates, or rewards funded by your commission;
(d) impersonate Aubrey Research or imply you are an employee, agent, or official representative;
(e) use our name, logo, or content in a way that suggests endorsement of products or causes other than Aubrey Research itself;
(f) place your link on websites that promote illegal, harmful, hateful, sexually explicit, or unlawful content;
(g) attempt to manipulate the tracking system, place cookies fraudulently, or claim attribution for sales you did not refer;
(h) buy our products through your own link to generate commission;
(i) share, resell, or redistribute customer data obtained through your participation;
(j) make any public statement implying an exclusive relationship, partnership, or endorsement we have not agreed to in writing.
8.2 We may suspend your account, withhold commission, and terminate your participation immediately if we reasonably believe you have breached this section. Commission earned before the suspected breach may be withheld pending investigation and forfeited if breach is confirmed.
9.1 We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Aubrey Research name and logo solely to promote your participation. This licence ends automatically when your participation ends.
9.2 You may not modify, distort, or alter our logo, or use it in a way that damages our reputation or implies endorsement of third parties.
9.3 Aubrey Research's website content (including reports, maps, articles, code, and data) is owned by Aubrey Research and is licensed to customers for personal use only. You may quote brief excerpts in your own content with attribution to Aubrey Research, but you may not reproduce reports in full, share access to reports with others, or claim authorship.
10.1 You will keep confidential any non-public information about our business, customers, technology, finances, or strategy that you learn through participation.
10.2 Individual commission rates and payment amounts are confidential. You may state publicly that you are a partner and that you earn from sales you refer; you may not disclose your specific rate or payment amounts without our written consent.
10.3 Confidentiality obligations survive termination.
11.1 We process personal data we hold about you in accordance with our Privacy Policy at aubreyresearch.com/privacy. We hold your name, email, channel/website information, payment details, and activity data for the purposes of administering the programme and meeting our legal obligations.
11.2 Where customer data is shown to you (for example, anonymised sales statistics on your dashboard) you must process it only for the purpose of administering your participation and in line with applicable UK data protection law, including the UK GDPR and the Data Protection Act 2018.
11.3 You must not attempt to identify, contact, or process personal data of customers referred via your Handle beyond what is necessary to administer your participation.
12.1 These terms take effect on your activation and continue until terminated by either party.
12.2 You may terminate at any time by written notice to admin@aubreyresearch.com. Termination takes effect on our acknowledgement or, if we do not respond, five working days after the notice was sent.
12.3 We may terminate at any time on 14 days' written notice for convenience, or immediately for material breach of these terms.
12.4 On termination:
(a) your Handle and share link cease to function;
(b) commission earned and not yet paid will be paid under section 5, except where withheld under section 8 for breach;
(c) all licences granted under section 9 terminate immediately;
(d) confidentiality obligations under section 10 continue.
13.1 Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or anything else that cannot lawfully be excluded.
13.2 Subject to section 13.1, our total aggregate liability to you under or in connection with the programme — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — is limited to the total commission paid to you in the 12 months preceding the event giving rise to the claim.
13.3 We are not liable for indirect, consequential, special, or exemplary losses, including loss of profits, business, anticipated savings, goodwill, or reputation, even where we were advised of the possibility.
14.1 We may update these terms from time to time. Material changes will be communicated to you by email at the address on your activation record, and updated terms take effect 14 days after notice.
14.2 If you do not accept the updated terms you must terminate your participation before the effective date. Continued participation after the effective date constitutes acceptance.
14.3 We may make non-material changes (clarifications, corrections, formatting) at any time without notice.
15.1 Governing law and jurisdiction. These terms are governed by the laws of England and Wales. Any dispute arising under or in connection with them is subject to the exclusive jurisdiction of the courts of England and Wales.
15.2 Severability. If any provision is held invalid or unenforceable, the remainder continues in full effect.
15.3 Waiver. No failure or delay in enforcing a right is a waiver of that right.
15.4 Assignment. You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign or transfer our rights and obligations on notice to you, including to any successor in business.
15.5 Entire agreement. These terms, together with our Privacy Policy and the commission and handle details set out at the top of this document, form the entire agreement between us regarding your participation. They supersede any prior representations or agreements.
15.6 Notices. Notices to us must be sent to admin@aubreyresearch.com. Notices to you will be sent to the email on your activation record. Notices are deemed received on the next working day after sending.
15.7 No third party rights. A person who is not party to these terms has no right to enforce any of them under the Contracts (Rights of Third Parties) Act 1999.
15.8 Force majeure. Neither party is liable for failure or delay in performing obligations arising from circumstances beyond reasonable control, including acts of God, war, civil unrest, government action, or network and platform outage.
